This Logo Design Contract ("Agreement") is entered into on 09/04/2026 between Flemming Design Company, LLC ("Designer"), and {Company Name:1} ("Client"), collectively referred to as the "Parties."

1. Scope of Services

Designer agrees to create a custom logo design for Client based on Client’s specifications and feedback. The design process includes:

• Initial consultation to discuss Client’s vision and requirements.
• Presentation of initial logo concepts.
• Up to two (2) rounds of revisions to the selected concept at no additional cost.
• Delivery of final logo files in industry-standard formats (e.g., PNG, JPEG, EPS, SVG).

2. Compensation

The total fee for the logo design services is $500. Payment terms are as follows:

• 50% of the total fee ($250) is due upon signing this Agreement as a non-refundable deposit.
• The remaining 50% ($250) is due upon Client’s approval of the final logo design and before delivery of final files.

Payments shall be made via Credit Cart or Bank Transfer.

3. Additional Revisions

Designer provides two (2) free rounds of revisions to the selected logo concept. Any additional revisions beyond the included two rounds will be billed at Designer’s hourly rate of $50 per hour, with time rounded to the nearest 15-minute increment. Client will be notified and must approve additional revision costs in writing before work proceeds.

4. Project Timeline

The estimated timeline for completion is 2–4 weeks from receipt of the initial deposit and all required materials from Client. Delays in Client feedback or failure to provide necessary information may extend the timeline. Designer will communicate any anticipated delays promptly.

5. Client Responsibilities

Client agrees to provide timely feedback, reference materials, and any specific content (e.g., brand guidelines, color preferences) required for the logo design. Client warrants that any materials provided do not infringe on third-party rights.

6. Copyright and Ownership

Upon full payment of all fees, Designer assigns and transfers all intellectual property rights, including copyright, in the final logo design to Client. Designer retains no rights to the final logo but may use the logo in Designer’s portfolio or promotional materials unless otherwise agreed in writing. Client acknowledges that Designer retains ownership of all preliminary concepts, drafts, and working files not included in the final logo delivery.

7. Cancellation and Termination

Either party may terminate this Agreement with written notice. If Client terminates before completion, the initial 50% deposit is non-refundable, and Client will be responsible for any additional work completed at the hourly rate of $50 per hour. If Designer terminates, any prepaid fees for uncompleted work will be refunded.

8. Limitation of Liability

Designer is not liable for any indirect, incidental, or consequential damages arising from the use of the logo. The logo is provided "as is," and Designer makes no warranties beyond the assignment of copyright upon full payment.

9. Governing Law

This Agreement shall be governed by the laws of OK. Any disputes arising under this Agreement shall be resolved in the courts of Oklahoma County, OK.

10. Entire Agreement

This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements. Any amendments must be made in writing and signed by both Parties.
