1. Scope of Work
Designer agrees to design and develop a website for Client, including the following pages:
- Home
- About
- Services
- Contact
- Gallery
All photos and written content for the website will be provided by the Client, with possible additions of stock images and written content provided by the Designer. The website will be designed using industry-standard tools and practices, ensuring functionality and responsiveness across devices.
2. Ownership and Rights
Upon completion and launch of the website, and receipt of full payment, Designer will release all design rights to the Client, granting Client full ownership of the website design.
3. Payment Terms
The total cost for the website design and development is a flat fee of $1,000, to be paid as follows:
- $500 due upon signing of this Agreement (deposit).
- $500 due upon completion and launch of the website.
Payments shall be made via Credit Card online, or via Wire Transfer.
4. Hosting
Designer will provide hosting services for the website at a cost of $90/year, payable annually. Hosting costs may increase in the future if Designer’s hosting expenses increase. Client will be notified in writing of any such increase at least 30 days in advance. Hosting is a yearly subscription that is paid online via Credit Card.
5. Client Access
Client will be provided with an admin user account to access and manage the website, allowing Client to add or update content independently.
6. Post-Launch Support and Changes
- Changes and revisions during the design and development process are included in the flat fee.
- Any changes or updates requested after 5 business days from the website launch will be billed at $50/hour.
- Designer will be available for post-launch content additions or updates at a rate of $50/hour.
7. Client Responsibilities
Client agrees to provide all necessary photos, written content, and any other materials required for the website in a timely manner. Delays in providing materials may result in delays in the project timeline.
8. Project Timeline
The estimated timeline for completion of the website is 2-4 weeks from the receipt of the deposit and all required materials from the Client. This timeline is subject to change based on Client’s responsiveness and feedback.
9. Termination
Either party may terminate this Agreement with written notice. If terminated by Client, Client is responsible for payment for all work completed up to the date of termination. If terminated by Designer, any prepaid fees for uncompleted work will be refunded.
10. Limitation of Liability
Designer is not responsible for any loss of business, damages, or issues arising from the website’s functionality, hosting, or third-party services after launch. Designer will ensure the website is functional and meets agreed-upon specifications at the time of launch.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Oklahoma, USA. Any disputes arising from this Agreement shall be resolved in OKC, Oklahoma courts.
12. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements or understandings, written or oral. Any amendments must be made in writing and signed by both parties.
